ALEGRY TERMS OF USE

All USERS of Alegry must read and accept these Terms of Use in full before using the platform. If you disagree with any part of these Terms, you must not register for, access, or use Alegry.
1. Preliminary Considerations
1.1 In this document, “Alegry,” “Platform,” or “we” refers to the set of technologies, tools, software, features, membership area, online store, artificial intelligence systems (including Copilot Alegry), affiliate and executive system, dashboard, the alegry.com domain and subdomains, the knowledge base, training materials, videos, sales funnel, sales pages, images, system layouts, and other solutions made available by Alegry Tecnologia Ltda., Brazilian company registration (CNPJ) 36.098.662/0001-93, headquartered at Av. Brig. Faria Lima, 1811 – cj1119 – Jardim Paulistano, São Paulo/SP, Brazil, ZIP Code 01452-001 (“Company”).
1.2 We consider a “User” to be any individual or legal entity that registers with Alegry and/or acquires a subscription plan, even if free or promotional, and that uses the Platform in any manner.
1.3 By subscribing to any plan or feature of Alegry, you declare, for all legal purposes, that you are at least 18 years old and have full legal capacity to do so.
1.4 Questions regarding these Terms may be clarified via the e-mail [email protected], without prejudice to Section 4 regarding official channels.
2. Electronic Acceptance and Voluntary Registration
2.1 Acceptance of these Terms of Use and the Privacy Policy occurs electronically, by checking the confirmation box (“checkbox”) presented at the time of registration, when subscribing to a plan, or for any upgrade/additional feature requiring specific acceptance.
2.2 Checking the checkbox is legally equivalent, for all purposes, to a handwritten signature, pursuant to Article 10, §2 of Provisional Measure No. 2,200-2/2001 and the Brazilian civil legislation applicable to electronic legal transactions. Alegry's system automatically records the date, time, IP address, and other session metadata at the time acceptance was given, which constitute sufficient and valid evidence of the User's manifestation of will.
2.3 Registration with Alegry is always voluntary, carried out by the User's own free and spontaneous will, with no obligation to join.
3. Registration, Accuracy of Information, and Account Security
3.1 The User must provide, at the time of registration and whenever there is a change, true, accurate, and up-to-date information (full name/company name, national tax ID (CPF/CNPJ or equivalent), address, valid e-mail address, and payment method).
3.2 The User is solely responsible for safeguarding their access credentials (login and password), and is fully liable for any activity carried out under their account, including by third parties to whom access was granted, whether authorized or not.
3.3 Alegry may adopt User identity verification mechanisms, particularly for fraud prevention purposes, payment method registration, participation in affiliate/executive programs, and commission payouts, and may request additional supporting documents at any time.
4. Official Contact, Service, and Support Channels
4.1 Alegry's official service channels are those made available within the Platform's own environment for this purpose — such as tickets, chat, Copilot, and the e-mail [email protected]. As Alegry evolves, new service channels may be added to the Platform, always identified and accessible within the logged-in environment.
4.2 Obligation to Use Official Channels. The User agrees to use exclusively the official service channels for any type of communication with the Company. Any other channel will not be considered legitimate, will not replace official support, and may delay the resolution sought by the User.
4.3 Consequences of Using Unofficial Channels. The use of unofficial channels (such as Reclame Aqui, social media, digital consumer protection platforms, among others) for complaints or claims, without first exhausting attempts to resolve the matter through official channels, will be considered a violation of these Terms, and may give rise to civil liability for any damage to the Company's image, without prejudice to other applicable measures.
4.4 The User agrees to use the communication channels respectfully and in a moderate and appropriate manner, always aiming to resolve issues directly with the Company.
4.5 Alegry does not provide support for third-party tools, software, or applications that are not part of its proprietary technology, even if such tools may be connected to or used together with the Alegry Platform, and is not responsible for blocks or penalties imposed by third-party platforms resulting from such connection.
4.6 Service Provision and Strategic Guidance. Services provided by Alegry professionals are rendered exclusively to users who have contracted the specific service, and do not include support for personal sales strategies or individual actions by the User. Support is limited to the services actually contracted.
5. Subscription Plans, Payment, Renewal, and Cancellation
5.1 Access to Alegry is granted exclusively upon the User's voluntary registration for one of the available subscription plans. The features, names, functionalities, technical limits, prices, artificial intelligence credits, and other commercial conditions of each plan are described on the Platform's official pricing/commercial page, which may be changed, adjusted, or restructured at any time and at the Company's sole discretion, without such changes constituting an amendment to these Terms of Use.
5.2 By registering and selecting a plan, the User authorizes the generation of invoices, automatic billing notices, and automatic debit via the registered credit card, for the subscription cycle contracted (monthly or annual), which will renew automatically until cancellation is formalized by the User themselves, through the account settings panel or the official service channels.
5.3 No Credit Reporting. Failure to pay any invoice will result in the immediate suspension of the User's access to the Platform's features until the matter is regularized. Alegry does not pursue judicial collection, protest, or report the User to credit protection bureaus (such as Serasa or SPC) due to subscription non-payment, except in cases of proven fraud, misuse of a payment method, or a court decision to the contrary.
5.4 Mere non-payment does not result in immediate cancellation of the subscription: invoice generation and due-date reminders will remain active until the User formally requests cancellation, or until the system identifies prolonged inactivity and automatically cancels the subscription, according to technical criteria defined by the Company.
5.5 Right of Withdrawal. During the first billing cycle of any plan, the User has a legal period of 7 (seven) calendar days, counted from confirmation of payment, to exercise their right of withdrawal and request a full refund, by express request through the official channels. This refund does not extend to renewals or subsequent charges.
5.6 Chargebacks and Disputes. Chargeback requests or claims of fraud/unrecognized transactions will be analyzed based on technical evidence (access logs, platform usage, IP address, date, and payment method). A chargeback request submitted directly to the card issuer, without a prior attempt to resolve the matter through official channels, where legitimate and verified use of the Platform has been established, may be treated as a violation of these Terms, giving rise to a claim for reimbursement of operating costs, intermediation fees, and other expenses arising from the improper reversal.
5.7 Automatic Payment Processing Failure. For subscriptions paid by credit card, if the issuing bank or card operator declines automatic processing, Alegry will make up to 3 (three) additional billing attempts. If the decline persists, access may be suspended until the matter is regularized. It is the User's responsibility to monitor successful payment and, in case of failure, to update their information or provide a new payment method through official channels. Alegry is not responsible for access blocks resulting from the bank's or card operator's failure to approve the charge.
6. Copilot and Artificial Intelligence Tools
6.1 Alegry provides features based on artificial intelligence, including “Copilot Alegry” and other related tools, subject to usage limits (“AI credits”) according to the contracted plan, as detailed on the Platform's pricing page.
6.2 Integrations with Third-Party AI Accounts. In addition to Copilot Alegry, the Platform may offer features that allow the User to connect their own accounts, API keys, or credentials for third-party artificial intelligence services (including, without limitation, OpenAI, Google, Anthropic, Meta, or any other current or future providers) to Alegry's tools. In such cases:
(a) the contractual, usage, and billing relationship regarding such third-party AI services is established exclusively between the User and the respective provider, and the terms of use, privacy policies, technical limits, and commercial conditions set by that provider apply, over which Alegry exercises no control;
(b) Alegry is not responsible for costs, charges, credit consumption, unavailability, policy changes, suspension, blocking, or termination of an account that the User may experience with the integrated AI provider;
(c) the User is solely responsible for safeguarding, keeping confidential, and properly using their credentials and API keys provided to such providers, including with respect to any misuse resulting from a security failure of their own account;
(d) Alegry does not guarantee the continuous compatibility, maintenance, or uninterrupted operation of any integration with third-party AI services, and such integrations may be modified, suspended, or discontinued at any time, including by unilateral decision of the third-party provider itself, without giving rise to any right to compensation.
6.3 The User acknowledges and accepts that responses, texts, images, analyses, or any content generated by artificial intelligence — whether by Copilot Alegry or by third-party services integrated under item 6.2 — may contain inaccuracies, errors, biases, or outdated information (“hallucinations”), and it is the User's sole responsibility to critically review and validate any generated content before using, publishing, or relying on it for any purpose, including commercial purposes.
6.4 Content generated by any artificial intelligence tool available on the Platform — whether proprietary or integrated third-party — does not constitute professional advice of any kind, including, without limitation, legal, accounting, tax, financial, or medical advice, and the User must seek guidance from a duly qualified professional whenever the situation so requires.
6.5 Alegry does not guarantee results, performance, accuracy, or fitness for any particular purpose regarding content generated by AI tools, whether proprietary or third-party integrations, and is not liable for direct or indirect damages arising from the use of such content by the User or by third parties.
6.6 The User is prohibited from using any artificial intelligence tool available on the Platform — whether proprietary or third-party — to: generate illegal, discriminatory, defamatory content, or content that violates third-party rights; produce deepfakes, unauthorized impersonation of third parties, or deceptive content; attempt to extract, reverse-engineer, or replicate the underlying models and systems of Alegry or its AI providers and partners; circumvent security mechanisms, usage limits, or content filters of the Platform or of the integrated providers; or for any purpose contrary to the law or to these Terms.
6.7 Data and commands (“prompts”) entered by the User into Alegry's own AI tools (Copilot Alegry) may be processed and used to improve and train Alegry's services, subject to and within the limits of the Privacy Policy. Data and commands entered into third-party AI tools integrated under item 6.2 are handled in accordance with the privacy policy and terms of the respective third-party provider, which the User should consult beforehand.
6.8 The SEO and keyword research features made available by Alegry use data, estimates, and metrics obtained from third-party sources and providers (including, without limitation, search engines and market analysis tools), which may be subject to variations, inaccuracies, or outdated information beyond Alegry's control. Alegry does not guarantee the accuracy, timeliness, or completeness of such data, and is not liable for decisions made by the User based thereon.
7. Availability, Technological Failures, and Force Majeure
7.1 The User acknowledges that the use of on-demand software and platform technology involves the risk of scheduled or emergency maintenance, with or without prior notice, and of unavailability, interruption, slowness, or temporary failure (of minutes, hours, days, or even weeks) of the servers, websites, domains, and subdomains, even though the Company makes efforts to keep the Platform available 24 hours a day, 7 days a week.
7.2 For access to and use of the Platform to occur properly, the User must have a stable internet connection and a compatible device. Alegry is not responsible for failures resulting from: the User's internet access providers; lack of electric power supply; failures in data routing or transmission; incompatibility of the User's systems or devices; malfunction of third-party hardware or software; cyberattacks, intrusions, or security incidents in third-party infrastructure (cloud providers, gateways, integrations); emergency maintenance; or events of fortuitous cause or force majeure.
7.3 The User agrees not to hold Alegry, its partners, officers, employees, or representatives liable for any loss, damage, or lost profits resulting from temporary unavailability of the Platform.
7.4 The User is solely responsible for maintaining their own up-to-date copies of all content, data, information, funnels, pages, documents, automation flows, or materials entered, created, or stored on the Platform. Although Alegry adopts reasonable technical security and continuity measures, it does not guarantee automatic, complete, or permanent backup of such data, and is not liable for loss, corruption, accidental deletion, or unavailability of content stored in the Platform's tools, including, without limitation, CRM, pipeline, document editor, mind maps, pages, biolinks, and automation flows.
8. Online Store, Membership Area, and Marketplace
8.1 Alegry provides technological tools for the User to create and operate their own online store and membership area within the Platform, for the purpose of marketing their own products and/or services to their end customers.
8.2 The status of owner and provider of the resources made available by the Platform does not mean that Alegry creates, develops, controls, endorses, or supplies any product marketed by the User. Users are fully and exclusively responsible for the products and for the information related to them, including their offer and use rules. Alegry is not responsible for any disputes or damages of any nature that may arise from the relationship between Users, or between Users and their end customers or third parties.
8.3 Alegry does not promise or guarantee that the User will achieve any level of performance, earnings, or financial results through the use of the online store, the membership area, or any other Platform tool.
8.4 Payment Processing. The User may choose, at their discretion, to: (a) process charges to their end customers using an external payment checkout integration, via their own billing link, in which case Alegry is not a party to the transaction and is not responsible for any rules, fees, or charges applied thereto; or (b) process charges through Alegry's integrated checkout and gateway, in which case Alegry acts as an intermediary in the transaction and Alegry's specific fees, charges, and rules apply.
8.5 Any and all acquisitions of products or services by end customers will be processed by financial platforms specialized in electronic payments and intermediation, which have their own regulations, terms of use, and policies, to be considered and evaluated under the exclusive responsibility of those companies.
8.6 Alegry may also offer third-party services to facilitate the sale of physical products, such as partners for delivery, invoice issuance, and inventory management. Alegry will not be responsible for the availability or accuracy of such services, nor for any damage resulting from their use, such as errors in invoice issuance, deviations or delays in the delivery of merchandise, or problems with inventory management.
8.7 The User declares to be the holder of the copyright and intellectual property rights over the products, content, and information they register in their online store or membership area, or to hold legal authorization for their commercialization, holding Alegry harmless from any liability for infringement of third-party rights.
8.8 The User may connect a custom domain to pages, biolinks, QR codes, or other Platform tools that allow such integration. Registration, DNS configuration, renewal, and availability of the domain are the User's exclusive responsibility before the respective registrar or domain provider, and Alegry is not liable for unavailability, loss of access, expiration, transfer, or any other issue related to a third-party domain connected by the User.
9. Viral Pages, Giveaways, and Promotions
9.1 Alegry provides technical tools for creating viral pages, referral campaigns, and giveaway or prize distribution mechanics for the User to use with their own customers, followers, or contacts.
9.2 The User is solely and exclusively responsible for ensuring the legal regularity of any giveaway, promotion, contest, or prize distribution carried out through Alegry's tools, including, where applicable, obtaining prior authorization from the competent Brazilian authorities (pursuant to Law No. 5,768/1971, Law No. 13,756/2018, and related regulations), as well as compliance with the advertising, transparency, and consumer protection rules applicable to this type of action.
9.3 Alegry provides exclusively the technological tool for creating and disseminating the page, campaign, or giveaway mechanic, and does not participate in the organization, verification, prize delivery, or any other aspect of the promotion, and is not liable for any irregularities, administrative sanctions, disputes with participants, or damages resulting from the User's conduct of the promotion.
10. Moderation of Products and Content
10.1 Alegry maintains a moderation function responsible for evaluating the content of registered products and services, to ensure compliance with these guidelines, standards, and Platform usage policies, including copyright, intellectual property, and other applicable legal rules.
10.2 Moderation may test the functionality and quality of products, provide feedback to the User, guide them through the compliance process, and assist in resolving issues related to product approval and quality.
10.3 Moderation monitors active products to ensure they remain compliant with Platform policies, conducting regular audits. Moderation also confirms the originality of the product, verifies the User's identity and authenticity, and analyzes real-time transaction patterns using tools and algorithms aimed at identifying suspicious activity and investigating fraud reports.
11. Prohibited Products and Services
11.1 The guidelines in this Section are implemented to maintain the integrity and security of the Platform, protecting Users, consumers, and compliance with applicable legal and ethical standards. It is prohibited within the Alegry environment to create, promote, register, or sell products, services, or content falling within the categories below:
(a) Illegal or Regulated Items: items whose sale or promotion is clearly prohibited by law; items that interfere with privacy, honor, or other personal rights; items that violate personal data protection rules or use personal information unlawfully; items that infringe third-party copyright or intellectual property rights (literary works, music, videos, software); items offered by persons not legally qualified in the relevant field; or items that claim, without proof, to be approved or certified by a competent authority.
(b) Items Promoting Harmful or Criminal Conduct: items that encourage or glorify violence or intolerance against any group or individual; that incite attacks based on race, gender, sexual orientation, religion, or origin; that promote discourse that devalues or stigmatizes groups; that constitute, in whole or in part, criminal or misdemeanor acts; that relate to fraud, money laundering, or illegal practices; that promote the unauthorized use of weapons, drugs, or controlled substances; or that encourage harassment, sexual exploitation, or any type of abuse.
(c) Items Associated with Fraudulent Conduct or Ethically Questionable Practices: items that promote violations of Platform guidelines; that induce or foster illegal or immoral practices; that fail to disclose or omit relevant information about their nature or origin; that are deceptive or capable of causing harm to users or third parties; that spread falsehoods as truth, particularly with the intent to manipulate public opinion; or that constitute or promote pyramid or Ponzi schemes.
(d) Items Contrary to Alegry's Guidelines: the sale or promotion of securities; promotional strategies involving misuse of the Platform or deception regarding costs/requirements; political or election-related fundraising initiatives; items that contradict established scientific knowledge or promote unproven therapies; items dealing with sensitive matters without due caution and substantiation; health-related items directed at the general public that promote unauthorized treatments or substances; items that promote habits harmful to public health; explicit or pornographic content; false sustainability claims; and physical items not approved for sale, including, without limitation: weapons, ammunition, and explosives; fireworks, tobacco, and related products; drugs and illicit substances; items derived from protected flora and fauna; telecommunications equipment not compliant with applicable regulations; human body parts, organs, or organic materials; medicines and medical/aesthetic products requiring health authority approval; tourism-related services without proper licenses; adult content or erotic materials; cutting materials such as “cerol” (glass-coated kite string); signal interception or unauthorized decoding equipment; items of historical, cultural, archaeological, or paleontological heritage; forged legal documents or counterfeit items; unregulated financial products; vehicles without proper documentation or illegal automotive products; gas dispensers; uncertified food and beverages; pesticides and machinery lacking proper safety devices; and products deemed unsafe or not typically sold at retail.
11.2 Violation of this Section will result in immediate removal of the product/content, and may result in account suspension, permanent ban, deletion of data, and reporting to the competent authorities, without any obligation of prior notice or compensation.
12. Intellectual Property, Content, and License to Use
12.1 All content available on the websites www.alegry.com, www.alegry.com.br, and their subdomains — including texts, images, graphics, logos, videos, audio, software, code, and other elements — is protected by copyright, trademark, and other national and international intellectual property laws, whether the fruit of the intellect of Alegry's professionals or of partner, affiliated, or licensed companies. Copying, reproduction, distribution, transmission, publication, display, sale, licensing, or any form of commercial or non-commercial exploitation is prohibited without prior express written authorization from the Company.
12.2 The provision of content to the User, whether free or paid, never constitutes a permanent transfer of ownership, but rather a precarious and temporary assignment of the right of use. For this reason, the User is prohibited from: downloading videos and/or audio not made available for such purpose; copying or plagiarizing content; performing reverse engineering; altering, removing, modifying, or disabling technical copy-protection devices; or acquiring/offering access collectively (“group buy”), under penalty of liability for property damages, lost profits, and moral damages resulting from misuse of image, voice, and/or intellectual property, without prejudice to other sanctions, including criminal sanctions. This prohibition applies even where the act is intended solely to obtain a copy for personal use.
12.3 The User may not use any data present on the Platform for advertising or promotional purposes, directly or indirectly, even if free of charge and without commercial purpose, without Alegry's prior request and consent.
12.4 All content is provided “as is,” without express or implied warranties of fitness for any particular purpose.
12.5 The User acknowledges that any content, material, image, text, audio, video, or element protected by intellectual property rights that they use on the Platform is their sole responsibility. Alegry is not liable for copyright, trademark, patent, trade secret, or other intellectual property infringements committed by the User, who is solely responsible for ensuring they hold the necessary authorizations for the use, publication, and distribution of such content.
12.6 Should any infringement of copyright, trademark, or other intellectual property rights be identified or reported, Alegry may immediately remove or block the content in question, regardless of prior notice to the User, and take applicable legal measures, including providing information to the competent authorities.
12.7 Content created or published by Users may, on occasion, be used by Alegry for use-case demonstrations, institutional promotion, or examples of tool applications, provided that copyright and content integrity are preserved and no unauthorized editing occurs.
13. Automations, Integrations, and Third-Party Tools
13.1 Alegry provides automation and flow-building tools (including, without limitation, Engineflow), which allow the User to configure triggers, actions, integrations, and automated sequences among the Platform's various features (CRM, pipeline, calendar, pages, message dispatch, among others). The User is solely responsible for the proper configuration, testing, and supervision of such automations, and Alegry is not liable for configuration errors, improper triggers, unintended bulk actions, duplicate or incorrect sends, or any other consequences arising from automation flows configured, activated, or modified by the User.
13.2 Alegry provides automation tools, message dispatch (e-mail, WhatsApp, SMS, push notifications), and integrations with third-party platforms (including, without limitation, Meta/WhatsApp Business, e-mail providers, and social media).
13.3 Alegry is not responsible for: blocks, restrictions, bans, or penalties imposed by third parties (such as Meta/WhatsApp) on the User's account; low deliverability resulting from the User's failure to comply with such third-party platforms' policies; or issues arising from unwarmed numbers/domains, improper dispatch practices, or any consequence resulting from the use of automation outside the best practices recommended by Alegry or by the integrated platforms themselves.
13.4 The User is solely responsible for ensuring valid consent from recipients of their campaigns and for complying with applicable law, including the Brazilian General Data Protection Law (LGPD) and the Brazilian Internet Civil Framework (Marco Civil da Internet), holding Alegry harmless from any liability resulting from improper use of these tools.
14. Misuse, Spam, and Security Measures
14.1 The Company may suspend, terminate, or restrict access to any tools, software, services, content, or features, at any time and for any reason, without prior notice and without liability for losses or damages, and may also impose usage limits or discontinue features as needed.
14.2 The Company may refuse services or cancel a license to use at its sole discretion, simply by sending notice to the User, with or without justification, with no compensation or refund owed.
14.3 Conduct that damages the Company's or Alegry's image, including false accusations or offensive or unlawful public statements, without the User having first attempted resolution through official support channels, is grounds for immediate cancellation of the license.
14.4 It is likewise prohibited to use Alegry for illegal, offensive, discriminatory, pornographic, defamatory, fraudulent purposes, or purposes contrary to applicable law, as well as to send or distribute viruses, spyware, malicious code, or any element that compromises the security of the Platform or of third parties.
14.5 The User is fully responsible for their actions on the Platform, including any content they create, publish, share, or disseminate, and must ensure that it does not violate municipal, state, national, or international laws, nor copyright, trademarks, or data protection rules set forth in the LGPD.
14.6 The User may not use Alegry for activities that include, without limitation:
Spam: sending unsolicited messages by e-mail, WhatsApp, SMS, or any other means, manually or in an automated fashion, without the recipient's consent;
Lists from dubious sources: use of contact lists obtained unlawfully, purchased, rented, or captured by third parties, without proof of consent;
Prohibited material: dissemination of sexual, obscene, defamatory, discriminatory, hateful, illegal, or politically disruptive content;
Deceptive or abusive campaigns: any action that harms third parties or the Company, or that violates applicable law, including fraud, phishing, and misleading advertising.
14.7 If there is any indication of spam, a high rejection/complaint rate, a third-party report, or any violation of this Section, Alegry may suspend or temporarily block the sending of communications from the User's account, or even access to the account, until the matter is regularized, regardless of prior notice. Repeated or serious violations may result in immediate account suspension, permanent ban, data deletion, and reporting to the competent authorities.
15. Communications and Marketing
15.1 The Company may send Users advertising and relevant updates to the e-mail address provided at registration. After voluntary registration, the User will receive Alegry's content as a priority, but is entirely free to stop receiving it at any time, via the link available in the footer of the e-mails sent, or directly through the official contact channels.
16. Relationship with Third Parties and Data Protection
16.1 The Company may request the removal of content, and may suspend or terminate accounts when it identifies misuse of third-party services, or when there is a risk to the security, reputation, or integrity of the Platform.
16.2 Alegry does not share Users' personal information with third parties, except as provided by law, court order, or when necessary to perform services contracted by the User themselves, always in compliance with the LGPD and other applicable rules.
16.3 Alegry may share strictly necessary data with service providers that assist in operating the Platform (hosting, programming, automation, e-mail marketing, payment gateways, among others), which will have limited and temporary access to the information and must use it exclusively for the contracted purpose.
16.4 The Company may share User information when, in good faith, it deems it necessary to: (a) comply with the law, a court order, or a government request; (b) protect the rights, property, and safety of Alegry, its users, or third parties; (c) prevent fraud, unlawful activities, or security threats; or (d) enforce these Terms of Use.
16.5 The User authorizes Alegry to maintain and use usage records, logs, and activity history for auditing purposes, evidence of misuse, security, and compliance with legal obligations.
16.6 The Platform may contain links to third-party sites or resources (“Third-Party Services”), which are not part of Alegry's scope of services. Such Third-Party Services are subject to different terms and policies, including with respect to privacy practices, and Alegry is not responsible for their availability, accuracy, content, products, or services, nor do such links represent an endorsement by Alegry.
16.7 In tools that allow the User to register, manage, or process third parties' personal data — including, without limitation, CRM, sales pipeline, online calendar, WhatsApp automation, and e-mail marketing — the User acts as the Data Controller of such personal data, pursuant to the Brazilian General Data Protection Law (Law No. 13,709/2018), and is solely responsible for obtaining the legal bases and consents necessary for its collection, processing, and use. Alegry acts exclusively as a Data Processor, providing the technical infrastructure for such processing, and is not liable for the origin, lawfulness, adequacy, or purpose of the processing of third-party data carried out by the User, who bears all Data Controller obligations and liabilities under applicable law.
17. Affiliate and Executive Programs
17.1 Alegry offers the Affiliate Program and the Executive Resale Program, each governed by specific Terms of Use, separately accepted by Users who choose to participate.
17.2 Normative Hierarchy. These General Terms of Use constitute the normative basis applicable to all Alegry Users, including Affiliates and Executives. The specific Terms of Use for each program govern, in a complementary manner, the rules, commercial conditions, commissions, and other particularities of each program. In the event of any omission or gap in the specific Terms, the provisions of these General Terms of Use shall prevail and apply on a supplementary basis.
17.3 The Affiliate or Executive must act ethically and in accordance with best practices, fully complying with these Terms of Use and the respective specific Terms of Use, remaining compliant with applicable law, including the LGPD, the Consumer Defense Code, and advertising regulations.
17.4 The Affiliate or Executive declares that they are at least 18 years old, have full legal and civil capacity, and that all their registration information is true.
17.5 The Affiliate or Executive is responsible for their e-mail and access password to their respective virtual office, as well as for any activity carried out in their account, the password being personal and non-transferable.
17.6 The Affiliate or Executive acknowledges that they do not represent Alegry, and may not create, alter, or offer content, services, or marketing campaigns on the Company's behalf. All material, brands, logos, names, and resources provided by Alegry are protected by intellectual property rights, and their use is restricted to the rules of the respective program, with any modification or misuse prohibited.
17.7 No Promise of Earnings. Alegry does not promise or guarantee that the User, Affiliate, or Executive will achieve any level of performance, earnings, or financial results through use of the Platform or participation in these programs. No Affiliate, Executive, collaborator, or representative is authorized to promise, imply, or guarantee results, extra income, financial returns, or performance of any kind to third parties — whether arising from use of the Platform, their status as Affiliate/Executive, or the marketing of plans and products — such conduct being the sole responsibility of whoever engages in it, fully holding Alegry harmless from any claim arising therefrom.
17.8 Continuous Eligibility. The right to receive commissions, benefits, or advantages of any kind under the Affiliate and Executive Programs is always conditioned on the Affiliate or Executive maintaining an active subscription in good standing with Alegry, under the terms and conditions specific to each program. Cessation of activity or delinquency by the Affiliate/Executive themselves likewise ceases the generation and/or payment of commissions, subject to the specific rules of each program.
17.9 Alegry Users, even those who joined through the promotion of an Affiliate or Executive, are not the personal clients of the latter, but rather clients of Alegry — since, in order to carry out such promotion, the Affiliate/Executive made use of the Company's tools, authority, name, and materials.
17.10 Alegry reserves the right to change, suspend, restructure, or discontinue, at any time, the Affiliate and Executive Programs, in whole or in part, without this giving rise to any vested right or compensation, except for amounts already available and owed under the specific Terms of each program.
17.11 The Affiliate or Executive may not engage in unlawful or unethical conduct of any kind, thereby compromising Alegry's good name.
18. Warranty, Disclaimer of Liability, and Indemnification
18.1 When the User accepts these Terms, they affirm that: (a) they agree that use of Alegry is at their own risk; (b) to the extent permitted by law, the Company, its managers, officers, employees, and representatives disclaim any warranty, express or implied, related to the use of Alegry, and make no warranties or promises regarding the accuracy or completeness of their own websites and tools.
18.2 The User agrees to defend, indemnify, and hold harmless the Company and its group — partners, officers, directors, employees, and representatives — from all claims, damages, liabilities, losses, responsibilities, costs, debts, and expenses (including, without limitation, attorneys' fees) arising from: (a) use of and access to Alegry; (b) violation of any provision of these Terms of Use; (c) violation of any third-party rights, including, without limitation, copyright, property, and privacy rights; or (d) any allegation that their presentations or content may have caused harm to third parties.
18.3 No User may use the Company's or Alegry's name to: (a) make offensive statements, engage in criminal conduct, issue threats, or harm any person in any way; or (b) impersonate another person, or falsely claim affiliation with any person or entity. Violation of this item may result in immediate blocking of access, in whole or in part, until the facts are clarified through internal investigation; if it is determined that there was no willful misconduct or fault, access will be reinstated, otherwise it will be permanently canceled.
18.4 Limited Waiver. To the fullest extent permitted by applicable law, and without prejudice to the rights that Brazilian law deems non-waivable (including those set forth in the Consumer Defense Code), the User agrees not to bring claims against the Company for indirect, incidental, consequential damages, or lost profits arising from use of the Platform or from third parties using it, except in cases of willful misconduct, fraud, or violation of a mandatory legal provision.
18.5 Any claim or dispute between Users and the Company may only be resolved through legally competent means in the city of São Paulo/SP, Brazil, with waiver of any other venue, however privileged it may be.
19. Limitation of Liability
19.1 Alegry's cumulative liability toward the User, where applicable, is limited to the lesser of: (i) three (3) times the amount paid by the User in the calendar month immediately preceding the event giving rise to the claim; or (ii) R$ 1,500.00 (one thousand five hundred Brazilian reais), except in cases of willful misconduct and matters that cannot be limited under the Consumer Defense Code.
20. Amendments to these Terms of Use
20.1 Alegry may amend these Terms at any time, taking effect upon publication on the website or notification to the User. Continued use of the Platform after the amendment constitutes acceptance of the new terms.
21. General Provisions
21.1 The User may not transfer or assign these Terms of Use, nor any rights or licenses granted herein; the Company, however, may transfer them without restriction or limitation.
21.2 These Terms of Use, together with the Privacy Policy and other legal notices published by the Company on its websites and subdomains, constitute a binding agreement between all Users and the Company. If any part of these Terms is deemed void by a competent jurisdiction, such invalidity will not affect the remainder of the Terms, which shall remain in full force and effect.
21.3 The Company's occasional tolerance regarding non-compliance with any obligation set forth in these Terms does not constitute a novation, nor a waiver of the right to demand compliance with the obligation.
21.4 In the event of the unenforceability of any rights or items set forth in these Terms, the User and the Company agree that any cause of action related to the use of Alegry must be brought within one (1) year from the date of the incident.

All USERS of Alegry must read and accept these Terms of Use in full before using the platform. If you disagree with any part of these Terms, you must not register for, access, or use Alegry.
1. Preliminary Considerations
1.1 In this document, “Alegry,” “Platform,” or “we” refers to the set of technologies, tools, software, features, membership area, online store, artificial intelligence systems (including Copilot Alegry), affiliate and executive system, dashboard, the alegry.com domain and subdomains, the knowledge base, training materials, videos, sales funnel, sales pages, images, system layouts, and other solutions made available by Alegry Tecnologia Ltda., Brazilian company registration (CNPJ) 36.098.662/0001-93, headquartered at Av. Brig. Faria Lima, 1811 – cj1119 – Jardim Paulistano, São Paulo/SP, Brazil, ZIP Code 01452-001 (“Company”).
1.2 We consider a “User” to be any individual or legal entity that registers with Alegry and/or acquires a subscription plan, even if free or promotional, and that uses the Platform in any manner.
1.3 By subscribing to any plan or feature of Alegry, you declare, for all legal purposes, that you are at least 18 years old and have full legal capacity to do so.
1.4 Questions regarding these Terms may be clarified via the e-mail [email protected], without prejudice to Section 4 regarding official channels.
2. Electronic Acceptance and Voluntary Registration
2.1 Acceptance of these Terms of Use and the Privacy Policy occurs electronically, by checking the confirmation box (“checkbox”) presented at the time of registration, when subscribing to a plan, or for any upgrade/additional feature requiring specific acceptance.
2.2 Checking the checkbox is legally equivalent, for all purposes, to a handwritten signature, pursuant to Article 10, §2 of Provisional Measure No. 2,200-2/2001 and the Brazilian civil legislation applicable to electronic legal transactions. Alegry's system automatically records the date, time, IP address, and other session metadata at the time acceptance was given, which constitute sufficient and valid evidence of the User's manifestation of will.
2.3 Registration with Alegry is always voluntary, carried out by the User's own free and spontaneous will, with no obligation to join.
3. Registration, Accuracy of Information, and Account Security
3.1 The User must provide, at the time of registration and whenever there is a change, true, accurate, and up-to-date information (full name/company name, national tax ID (CPF/CNPJ or equivalent), address, valid e-mail address, and payment method).
3.2 The User is solely responsible for safeguarding their access credentials (login and password), and is fully liable for any activity carried out under their account, including by third parties to whom access was granted, whether authorized or not.
3.3 Alegry may adopt User identity verification mechanisms, particularly for fraud prevention purposes, payment method registration, participation in affiliate/executive programs, and commission payouts, and may request additional supporting documents at any time.
4. Official Contact, Service, and Support Channels
4.1 Alegry's official service channels are those made available within the Platform's own environment for this purpose — such as tickets, chat, Copilot, and the e-mail [email protected]. As Alegry evolves, new service channels may be added to the Platform, always identified and accessible within the logged-in environment.
4.2 Obligation to Use Official Channels. The User agrees to use exclusively the official service channels for any type of communication with the Company. Any other channel will not be considered legitimate, will not replace official support, and may delay the resolution sought by the User.
4.3 Consequences of Using Unofficial Channels. The use of unofficial channels (such as Reclame Aqui, social media, digital consumer protection platforms, among others) for complaints or claims, without first exhausting attempts to resolve the matter through official channels, will be considered a violation of these Terms, and may give rise to civil liability for any damage to the Company's image, without prejudice to other applicable measures.
4.4 The User agrees to use the communication channels respectfully and in a moderate and appropriate manner, always aiming to resolve issues directly with the Company.
4.5 Alegry does not provide support for third-party tools, software, or applications that are not part of its proprietary technology, even if such tools may be connected to or used together with the Alegry Platform, and is not responsible for blocks or penalties imposed by third-party platforms resulting from such connection.
4.6 Service Provision and Strategic Guidance. Services provided by Alegry professionals are rendered exclusively to users who have contracted the specific service, and do not include support for personal sales strategies or individual actions by the User. Support is limited to the services actually contracted.
5. Subscription Plans, Payment, Renewal, and Cancellation
5.1 Access to Alegry is granted exclusively upon the User's voluntary registration for one of the available subscription plans. The features, names, functionalities, technical limits, prices, artificial intelligence credits, and other commercial conditions of each plan are described on the Platform's official pricing/commercial page, which may be changed, adjusted, or restructured at any time and at the Company's sole discretion, without such changes constituting an amendment to these Terms of Use.
5.2 By registering and selecting a plan, the User authorizes the generation of invoices, automatic billing notices, and automatic debit via the registered credit card, for the subscription cycle contracted (monthly or annual), which will renew automatically until cancellation is formalized by the User themselves, through the account settings panel or the official service channels.
5.3 No Credit Reporting. Failure to pay any invoice will result in the immediate suspension of the User's access to the Platform's features until the matter is regularized. Alegry does not pursue judicial collection, protest, or report the User to credit protection bureaus (such as Serasa or SPC) due to subscription non-payment, except in cases of proven fraud, misuse of a payment method, or a court decision to the contrary.
5.4 Mere non-payment does not result in immediate cancellation of the subscription: invoice generation and due-date reminders will remain active until the User formally requests cancellation, or until the system identifies prolonged inactivity and automatically cancels the subscription, according to technical criteria defined by the Company.
5.5 Right of Withdrawal. During the first billing cycle of any plan, the User has a legal period of 7 (seven) calendar days, counted from confirmation of payment, to exercise their right of withdrawal and request a full refund, by express request through the official channels. This refund does not extend to renewals or subsequent charges.
5.6 Chargebacks and Disputes. Chargeback requests or claims of fraud/unrecognized transactions will be analyzed based on technical evidence (access logs, platform usage, IP address, date, and payment method). A chargeback request submitted directly to the card issuer, without a prior attempt to resolve the matter through official channels, where legitimate and verified use of the Platform has been established, may be treated as a violation of these Terms, giving rise to a claim for reimbursement of operating costs, intermediation fees, and other expenses arising from the improper reversal.
5.7 Automatic Payment Processing Failure. For subscriptions paid by credit card, if the issuing bank or card operator declines automatic processing, Alegry will make up to 3 (three) additional billing attempts. If the decline persists, access may be suspended until the matter is regularized. It is the User's responsibility to monitor successful payment and, in case of failure, to update their information or provide a new payment method through official channels. Alegry is not responsible for access blocks resulting from the bank's or card operator's failure to approve the charge.
6. Copilot and Artificial Intelligence Tools
6.1 Alegry provides features based on artificial intelligence, including “Copilot Alegry” and other related tools, subject to usage limits (“AI credits”) according to the contracted plan, as detailed on the Platform's pricing page.
6.2 Integrations with Third-Party AI Accounts. In addition to Copilot Alegry, the Platform may offer features that allow the User to connect their own accounts, API keys, or credentials for third-party artificial intelligence services (including, without limitation, OpenAI, Google, Anthropic, Meta, or any other current or future providers) to Alegry's tools. In such cases:
(a) the contractual, usage, and billing relationship regarding such third-party AI services is established exclusively between the User and the respective provider, and the terms of use, privacy policies, technical limits, and commercial conditions set by that provider apply, over which Alegry exercises no control;
(b) Alegry is not responsible for costs, charges, credit consumption, unavailability, policy changes, suspension, blocking, or termination of an account that the User may experience with the integrated AI provider;
(c) the User is solely responsible for safeguarding, keeping confidential, and properly using their credentials and API keys provided to such providers, including with respect to any misuse resulting from a security failure of their own account;
(d) Alegry does not guarantee the continuous compatibility, maintenance, or uninterrupted operation of any integration with third-party AI services, and such integrations may be modified, suspended, or discontinued at any time, including by unilateral decision of the third-party provider itself, without giving rise to any right to compensation.
6.3 The User acknowledges and accepts that responses, texts, images, analyses, or any content generated by artificial intelligence — whether by Copilot Alegry or by third-party services integrated under item 6.2 — may contain inaccuracies, errors, biases, or outdated information (“hallucinations”), and it is the User's sole responsibility to critically review and validate any generated content before using, publishing, or relying on it for any purpose, including commercial purposes.
6.4 Content generated by any artificial intelligence tool available on the Platform — whether proprietary or integrated third-party — does not constitute professional advice of any kind, including, without limitation, legal, accounting, tax, financial, or medical advice, and the User must seek guidance from a duly qualified professional whenever the situation so requires.
6.5 Alegry does not guarantee results, performance, accuracy, or fitness for any particular purpose regarding content generated by AI tools, whether proprietary or third-party integrations, and is not liable for direct or indirect damages arising from the use of such content by the User or by third parties.
6.6 The User is prohibited from using any artificial intelligence tool available on the Platform — whether proprietary or third-party — to: generate illegal, discriminatory, defamatory content, or content that violates third-party rights; produce deepfakes, unauthorized impersonation of third parties, or deceptive content; attempt to extract, reverse-engineer, or replicate the underlying models and systems of Alegry or its AI providers and partners; circumvent security mechanisms, usage limits, or content filters of the Platform or of the integrated providers; or for any purpose contrary to the law or to these Terms.
6.7 Data and commands (“prompts”) entered by the User into Alegry's own AI tools (Copilot Alegry) may be processed and used to improve and train Alegry's services, subject to and within the limits of the Privacy Policy. Data and commands entered into third-party AI tools integrated under item 6.2 are handled in accordance with the privacy policy and terms of the respective third-party provider, which the User should consult beforehand.
6.8 The SEO and keyword research features made available by Alegry use data, estimates, and metrics obtained from third-party sources and providers (including, without limitation, search engines and market analysis tools), which may be subject to variations, inaccuracies, or outdated information beyond Alegry's control. Alegry does not guarantee the accuracy, timeliness, or completeness of such data, and is not liable for decisions made by the User based thereon.
7. Availability, Technological Failures, and Force Majeure
7.1 The User acknowledges that the use of on-demand software and platform technology involves the risk of scheduled or emergency maintenance, with or without prior notice, and of unavailability, interruption, slowness, or temporary failure (of minutes, hours, days, or even weeks) of the servers, websites, domains, and subdomains, even though the Company makes efforts to keep the Platform available 24 hours a day, 7 days a week.
7.2 For access to and use of the Platform to occur properly, the User must have a stable internet connection and a compatible device. Alegry is not responsible for failures resulting from: the User's internet access providers; lack of electric power supply; failures in data routing or transmission; incompatibility of the User's systems or devices; malfunction of third-party hardware or software; cyberattacks, intrusions, or security incidents in third-party infrastructure (cloud providers, gateways, integrations); emergency maintenance; or events of fortuitous cause or force majeure.
7.3 The User agrees not to hold Alegry, its partners, officers, employees, or representatives liable for any loss, damage, or lost profits resulting from temporary unavailability of the Platform.
7.4 The User is solely responsible for maintaining their own up-to-date copies of all content, data, information, funnels, pages, documents, automation flows, or materials entered, created, or stored on the Platform. Although Alegry adopts reasonable technical security and continuity measures, it does not guarantee automatic, complete, or permanent backup of such data, and is not liable for loss, corruption, accidental deletion, or unavailability of content stored in the Platform's tools, including, without limitation, CRM, pipeline, document editor, mind maps, pages, biolinks, and automation flows.
8. Online Store, Membership Area, and Marketplace
8.1 Alegry provides technological tools for the User to create and operate their own online store and membership area within the Platform, for the purpose of marketing their own products and/or services to their end customers.
8.2 The status of owner and provider of the resources made available by the Platform does not mean that Alegry creates, develops, controls, endorses, or supplies any product marketed by the User. Users are fully and exclusively responsible for the products and for the information related to them, including their offer and use rules. Alegry is not responsible for any disputes or damages of any nature that may arise from the relationship between Users, or between Users and their end customers or third parties.
8.3 Alegry does not promise or guarantee that the User will achieve any level of performance, earnings, or financial results through the use of the online store, the membership area, or any other Platform tool.
8.4 Payment Processing. The User may choose, at their discretion, to: (a) process charges to their end customers using an external payment checkout integration, via their own billing link, in which case Alegry is not a party to the transaction and is not responsible for any rules, fees, or charges applied thereto; or (b) process charges through Alegry's integrated checkout and gateway, in which case Alegry acts as an intermediary in the transaction and Alegry's specific fees, charges, and rules apply.
8.5 Any and all acquisitions of products or services by end customers will be processed by financial platforms specialized in electronic payments and intermediation, which have their own regulations, terms of use, and policies, to be considered and evaluated under the exclusive responsibility of those companies.
8.6 Alegry may also offer third-party services to facilitate the sale of physical products, such as partners for delivery, invoice issuance, and inventory management. Alegry will not be responsible for the availability or accuracy of such services, nor for any damage resulting from their use, such as errors in invoice issuance, deviations or delays in the delivery of merchandise, or problems with inventory management.
8.7 The User declares to be the holder of the copyright and intellectual property rights over the products, content, and information they register in their online store or membership area, or to hold legal authorization for their commercialization, holding Alegry harmless from any liability for infringement of third-party rights.
8.8 The User may connect a custom domain to pages, biolinks, QR codes, or other Platform tools that allow such integration. Registration, DNS configuration, renewal, and availability of the domain are the User's exclusive responsibility before the respective registrar or domain provider, and Alegry is not liable for unavailability, loss of access, expiration, transfer, or any other issue related to a third-party domain connected by the User.
9. Viral Pages, Giveaways, and Promotions
9.1 Alegry provides technical tools for creating viral pages, referral campaigns, and giveaway or prize distribution mechanics for the User to use with their own customers, followers, or contacts.
9.2 The User is solely and exclusively responsible for ensuring the legal regularity of any giveaway, promotion, contest, or prize distribution carried out through Alegry's tools, including, where applicable, obtaining prior authorization from the competent Brazilian authorities (pursuant to Law No. 5,768/1971, Law No. 13,756/2018, and related regulations), as well as compliance with the advertising, transparency, and consumer protection rules applicable to this type of action.
9.3 Alegry provides exclusively the technological tool for creating and disseminating the page, campaign, or giveaway mechanic, and does not participate in the organization, verification, prize delivery, or any other aspect of the promotion, and is not liable for any irregularities, administrative sanctions, disputes with participants, or damages resulting from the User's conduct of the promotion.
10. Moderation of Products and Content
10.1 Alegry maintains a moderation function responsible for evaluating the content of registered products and services, to ensure compliance with these guidelines, standards, and Platform usage policies, including copyright, intellectual property, and other applicable legal rules.
10.2 Moderation may test the functionality and quality of products, provide feedback to the User, guide them through the compliance process, and assist in resolving issues related to product approval and quality.
10.3 Moderation monitors active products to ensure they remain compliant with Platform policies, conducting regular audits. Moderation also confirms the originality of the product, verifies the User's identity and authenticity, and analyzes real-time transaction patterns using tools and algorithms aimed at identifying suspicious activity and investigating fraud reports.
11. Prohibited Products and Services
11.1 The guidelines in this Section are implemented to maintain the integrity and security of the Platform, protecting Users, consumers, and compliance with applicable legal and ethical standards. It is prohibited within the Alegry environment to create, promote, register, or sell products, services, or content falling within the categories below:
(a) Illegal or Regulated Items: items whose sale or promotion is clearly prohibited by law; items that interfere with privacy, honor, or other personal rights; items that violate personal data protection rules or use personal information unlawfully; items that infringe third-party copyright or intellectual property rights (literary works, music, videos, software); items offered by persons not legally qualified in the relevant field; or items that claim, without proof, to be approved or certified by a competent authority.
(b) Items Promoting Harmful or Criminal Conduct: items that encourage or glorify violence or intolerance against any group or individual; that incite attacks based on race, gender, sexual orientation, religion, or origin; that promote discourse that devalues or stigmatizes groups; that constitute, in whole or in part, criminal or misdemeanor acts; that relate to fraud, money laundering, or illegal practices; that promote the unauthorized use of weapons, drugs, or controlled substances; or that encourage harassment, sexual exploitation, or any type of abuse.
(c) Items Associated with Fraudulent Conduct or Ethically Questionable Practices: items that promote violations of Platform guidelines; that induce or foster illegal or immoral practices; that fail to disclose or omit relevant information about their nature or origin; that are deceptive or capable of causing harm to users or third parties; that spread falsehoods as truth, particularly with the intent to manipulate public opinion; or that constitute or promote pyramid or Ponzi schemes.
(d) Items Contrary to Alegry's Guidelines: the sale or promotion of securities; promotional strategies involving misuse of the Platform or deception regarding costs/requirements; political or election-related fundraising initiatives; items that contradict established scientific knowledge or promote unproven therapies; items dealing with sensitive matters without due caution and substantiation; health-related items directed at the general public that promote unauthorized treatments or substances; items that promote habits harmful to public health; explicit or pornographic content; false sustainability claims; and physical items not approved for sale, including, without limitation: weapons, ammunition, and explosives; fireworks, tobacco, and related products; drugs and illicit substances; items derived from protected flora and fauna; telecommunications equipment not compliant with applicable regulations; human body parts, organs, or organic materials; medicines and medical/aesthetic products requiring health authority approval; tourism-related services without proper licenses; adult content or erotic materials; cutting materials such as “cerol” (glass-coated kite string); signal interception or unauthorized decoding equipment; items of historical, cultural, archaeological, or paleontological heritage; forged legal documents or counterfeit items; unregulated financial products; vehicles without proper documentation or illegal automotive products; gas dispensers; uncertified food and beverages; pesticides and machinery lacking proper safety devices; and products deemed unsafe or not typically sold at retail.
11.2 Violation of this Section will result in immediate removal of the product/content, and may result in account suspension, permanent ban, deletion of data, and reporting to the competent authorities, without any obligation of prior notice or compensation.
12. Intellectual Property, Content, and License to Use
12.1 All content available on the websites www.alegry.com, www.alegry.com.br, and their subdomains — including texts, images, graphics, logos, videos, audio, software, code, and other elements — is protected by copyright, trademark, and other national and international intellectual property laws, whether the fruit of the intellect of Alegry's professionals or of partner, affiliated, or licensed companies. Copying, reproduction, distribution, transmission, publication, display, sale, licensing, or any form of commercial or non-commercial exploitation is prohibited without prior express written authorization from the Company.
12.2 The provision of content to the User, whether free or paid, never constitutes a permanent transfer of ownership, but rather a precarious and temporary assignment of the right of use. For this reason, the User is prohibited from: downloading videos and/or audio not made available for such purpose; copying or plagiarizing content; performing reverse engineering; altering, removing, modifying, or disabling technical copy-protection devices; or acquiring/offering access collectively (“group buy”), under penalty of liability for property damages, lost profits, and moral damages resulting from misuse of image, voice, and/or intellectual property, without prejudice to other sanctions, including criminal sanctions. This prohibition applies even where the act is intended solely to obtain a copy for personal use.
12.3 The User may not use any data present on the Platform for advertising or promotional purposes, directly or indirectly, even if free of charge and without commercial purpose, without Alegry's prior request and consent.
12.4 All content is provided “as is,” without express or implied warranties of fitness for any particular purpose.
12.5 The User acknowledges that any content, material, image, text, audio, video, or element protected by intellectual property rights that they use on the Platform is their sole responsibility. Alegry is not liable for copyright, trademark, patent, trade secret, or other intellectual property infringements committed by the User, who is solely responsible for ensuring they hold the necessary authorizations for the use, publication, and distribution of such content.
12.6 Should any infringement of copyright, trademark, or other intellectual property rights be identified or reported, Alegry may immediately remove or block the content in question, regardless of prior notice to the User, and take applicable legal measures, including providing information to the competent authorities.
12.7 Content created or published by Users may, on occasion, be used by Alegry for use-case demonstrations, institutional promotion, or examples of tool applications, provided that copyright and content integrity are preserved and no unauthorized editing occurs.
13. Automations, Integrations, and Third-Party Tools
13.1 Alegry provides automation and flow-building tools (including, without limitation, Engineflow), which allow the User to configure triggers, actions, integrations, and automated sequences among the Platform's various features (CRM, pipeline, calendar, pages, message dispatch, among others). The User is solely responsible for the proper configuration, testing, and supervision of such automations, and Alegry is not liable for configuration errors, improper triggers, unintended bulk actions, duplicate or incorrect sends, or any other consequences arising from automation flows configured, activated, or modified by the User.
13.2 Alegry provides automation tools, message dispatch (e-mail, WhatsApp, SMS, push notifications), and integrations with third-party platforms (including, without limitation, Meta/WhatsApp Business, e-mail providers, and social media).
13.3 Alegry is not responsible for: blocks, restrictions, bans, or penalties imposed by third parties (such as Meta/WhatsApp) on the User's account; low deliverability resulting from the User's failure to comply with such third-party platforms' policies; or issues arising from unwarmed numbers/domains, improper dispatch practices, or any consequence resulting from the use of automation outside the best practices recommended by Alegry or by the integrated platforms themselves.
13.4 The User is solely responsible for ensuring valid consent from recipients of their campaigns and for complying with applicable law, including the Brazilian General Data Protection Law (LGPD) and the Brazilian Internet Civil Framework (Marco Civil da Internet), holding Alegry harmless from any liability resulting from improper use of these tools.
14. Misuse, Spam, and Security Measures
14.1 The Company may suspend, terminate, or restrict access to any tools, software, services, content, or features, at any time and for any reason, without prior notice and without liability for losses or damages, and may also impose usage limits or discontinue features as needed.
14.2 The Company may refuse services or cancel a license to use at its sole discretion, simply by sending notice to the User, with or without justification, with no compensation or refund owed.
14.3 Conduct that damages the Company's or Alegry's image, including false accusations or offensive or unlawful public statements, without the User having first attempted resolution through official support channels, is grounds for immediate cancellation of the license.
14.4 It is likewise prohibited to use Alegry for illegal, offensive, discriminatory, pornographic, defamatory, fraudulent purposes, or purposes contrary to applicable law, as well as to send or distribute viruses, spyware, malicious code, or any element that compromises the security of the Platform or of third parties.
14.5 The User is fully responsible for their actions on the Platform, including any content they create, publish, share, or disseminate, and must ensure that it does not violate municipal, state, national, or international laws, nor copyright, trademarks, or data protection rules set forth in the LGPD.
14.6 The User may not use Alegry for activities that include, without limitation:
Spam: sending unsolicited messages by e-mail, WhatsApp, SMS, or any other means, manually or in an automated fashion, without the recipient's consent;
Lists from dubious sources: use of contact lists obtained unlawfully, purchased, rented, or captured by third parties, without proof of consent;
Prohibited material: dissemination of sexual, obscene, defamatory, discriminatory, hateful, illegal, or politically disruptive content;
Deceptive or abusive campaigns: any action that harms third parties or the Company, or that violates applicable law, including fraud, phishing, and misleading advertising.
14.7 If there is any indication of spam, a high rejection/complaint rate, a third-party report, or any violation of this Section, Alegry may suspend or temporarily block the sending of communications from the User's account, or even access to the account, until the matter is regularized, regardless of prior notice. Repeated or serious violations may result in immediate account suspension, permanent ban, data deletion, and reporting to the competent authorities.
15. Communications and Marketing
15.1 The Company may send Users advertising and relevant updates to the e-mail address provided at registration. After voluntary registration, the User will receive Alegry's content as a priority, but is entirely free to stop receiving it at any time, via the link available in the footer of the e-mails sent, or directly through the official contact channels.
16. Relationship with Third Parties and Data Protection
16.1 The Company may request the removal of content, and may suspend or terminate accounts when it identifies misuse of third-party services, or when there is a risk to the security, reputation, or integrity of the Platform.
16.2 Alegry does not share Users' personal information with third parties, except as provided by law, court order, or when necessary to perform services contracted by the User themselves, always in compliance with the LGPD and other applicable rules.
16.3 Alegry may share strictly necessary data with service providers that assist in operating the Platform (hosting, programming, automation, e-mail marketing, payment gateways, among others), which will have limited and temporary access to the information and must use it exclusively for the contracted purpose.
16.4 The Company may share User information when, in good faith, it deems it necessary to: (a) comply with the law, a court order, or a government request; (b) protect the rights, property, and safety of Alegry, its users, or third parties; (c) prevent fraud, unlawful activities, or security threats; or (d) enforce these Terms of Use.
16.5 The User authorizes Alegry to maintain and use usage records, logs, and activity history for auditing purposes, evidence of misuse, security, and compliance with legal obligations.
16.6 The Platform may contain links to third-party sites or resources (“Third-Party Services”), which are not part of Alegry's scope of services. Such Third-Party Services are subject to different terms and policies, including with respect to privacy practices, and Alegry is not responsible for their availability, accuracy, content, products, or services, nor do such links represent an endorsement by Alegry.
16.7 In tools that allow the User to register, manage, or process third parties' personal data — including, without limitation, CRM, sales pipeline, online calendar, WhatsApp automation, and e-mail marketing — the User acts as the Data Controller of such personal data, pursuant to the Brazilian General Data Protection Law (Law No. 13,709/2018), and is solely responsible for obtaining the legal bases and consents necessary for its collection, processing, and use. Alegry acts exclusively as a Data Processor, providing the technical infrastructure for such processing, and is not liable for the origin, lawfulness, adequacy, or purpose of the processing of third-party data carried out by the User, who bears all Data Controller obligations and liabilities under applicable law.
17. Affiliate and Executive Programs
17.1 Alegry offers the Affiliate Program and the Executive Resale Program, each governed by specific Terms of Use, separately accepted by Users who choose to participate.
17.2 Normative Hierarchy. These General Terms of Use constitute the normative basis applicable to all Alegry Users, including Affiliates and Executives. The specific Terms of Use for each program govern, in a complementary manner, the rules, commercial conditions, commissions, and other particularities of each program. In the event of any omission or gap in the specific Terms, the provisions of these General Terms of Use shall prevail and apply on a supplementary basis.
17.3 The Affiliate or Executive must act ethically and in accordance with best practices, fully complying with these Terms of Use and the respective specific Terms of Use, remaining compliant with applicable law, including the LGPD, the Consumer Defense Code, and advertising regulations.
17.4 The Affiliate or Executive declares that they are at least 18 years old, have full legal and civil capacity, and that all their registration information is true.
17.5 The Affiliate or Executive is responsible for their e-mail and access password to their respective virtual office, as well as for any activity carried out in their account, the password being personal and non-transferable.
17.6 The Affiliate or Executive acknowledges that they do not represent Alegry, and may not create, alter, or offer content, services, or marketing campaigns on the Company's behalf. All material, brands, logos, names, and resources provided by Alegry are protected by intellectual property rights, and their use is restricted to the rules of the respective program, with any modification or misuse prohibited.
17.7 No Promise of Earnings. Alegry does not promise or guarantee that the User, Affiliate, or Executive will achieve any level of performance, earnings, or financial results through use of the Platform or participation in these programs. No Affiliate, Executive, collaborator, or representative is authorized to promise, imply, or guarantee results, extra income, financial returns, or performance of any kind to third parties — whether arising from use of the Platform, their status as Affiliate/Executive, or the marketing of plans and products — such conduct being the sole responsibility of whoever engages in it, fully holding Alegry harmless from any claim arising therefrom.
17.8 Continuous Eligibility. The right to receive commissions, benefits, or advantages of any kind under the Affiliate and Executive Programs is always conditioned on the Affiliate or Executive maintaining an active subscription in good standing with Alegry, under the terms and conditions specific to each program. Cessation of activity or delinquency by the Affiliate/Executive themselves likewise ceases the generation and/or payment of commissions, subject to the specific rules of each program.
17.9 Alegry Users, even those who joined through the promotion of an Affiliate or Executive, are not the personal clients of the latter, but rather clients of Alegry — since, in order to carry out such promotion, the Affiliate/Executive made use of the Company's tools, authority, name, and materials.
17.10 Alegry reserves the right to change, suspend, restructure, or discontinue, at any time, the Affiliate and Executive Programs, in whole or in part, without this giving rise to any vested right or compensation, except for amounts already available and owed under the specific Terms of each program.
17.11 The Affiliate or Executive may not engage in unlawful or unethical conduct of any kind, thereby compromising Alegry's good name.
18. Warranty, Disclaimer of Liability, and Indemnification
18.1 When the User accepts these Terms, they affirm that: (a) they agree that use of Alegry is at their own risk; (b) to the extent permitted by law, the Company, its managers, officers, employees, and representatives disclaim any warranty, express or implied, related to the use of Alegry, and make no warranties or promises regarding the accuracy or completeness of their own websites and tools.
18.2 The User agrees to defend, indemnify, and hold harmless the Company and its group — partners, officers, directors, employees, and representatives — from all claims, damages, liabilities, losses, responsibilities, costs, debts, and expenses (including, without limitation, attorneys' fees) arising from: (a) use of and access to Alegry; (b) violation of any provision of these Terms of Use; (c) violation of any third-party rights, including, without limitation, copyright, property, and privacy rights; or (d) any allegation that their presentations or content may have caused harm to third parties.
18.3 No User may use the Company's or Alegry's name to: (a) make offensive statements, engage in criminal conduct, issue threats, or harm any person in any way; or (b) impersonate another person, or falsely claim affiliation with any person or entity. Violation of this item may result in immediate blocking of access, in whole or in part, until the facts are clarified through internal investigation; if it is determined that there was no willful misconduct or fault, access will be reinstated, otherwise it will be permanently canceled.
18.4 Limited Waiver. To the fullest extent permitted by applicable law, and without prejudice to the rights that Brazilian law deems non-waivable (including those set forth in the Consumer Defense Code), the User agrees not to bring claims against the Company for indirect, incidental, consequential damages, or lost profits arising from use of the Platform or from third parties using it, except in cases of willful misconduct, fraud, or violation of a mandatory legal provision.
18.5 Any claim or dispute between Users and the Company may only be resolved through legally competent means in the city of São Paulo/SP, Brazil, with waiver of any other venue, however privileged it may be.
19. Limitation of Liability
19.1 Alegry's cumulative liability toward the User, where applicable, is limited to the lesser of: (i) three (3) times the amount paid by the User in the calendar month immediately preceding the event giving rise to the claim; or (ii) R$ 1,500.00 (one thousand five hundred Brazilian reais), except in cases of willful misconduct and matters that cannot be limited under the Consumer Defense Code.
20. Amendments to these Terms of Use
20.1 Alegry may amend these Terms at any time, taking effect upon publication on the website or notification to the User. Continued use of the Platform after the amendment constitutes acceptance of the new terms.
21. General Provisions
21.1 The User may not transfer or assign these Terms of Use, nor any rights or licenses granted herein; the Company, however, may transfer them without restriction or limitation.
21.2 These Terms of Use, together with the Privacy Policy and other legal notices published by the Company on its websites and subdomains, constitute a binding agreement between all Users and the Company. If any part of these Terms is deemed void by a competent jurisdiction, such invalidity will not affect the remainder of the Terms, which shall remain in full force and effect.
21.3 The Company's occasional tolerance regarding non-compliance with any obligation set forth in these Terms does not constitute a novation, nor a waiver of the right to demand compliance with the obligation.
21.4 In the event of the unenforceability of any rights or items set forth in these Terms, the User and the Company agree that any cause of action related to the use of Alegry must be brought within one (1) year from the date of the incident.
